Grant of Rights

The Model hereby irrevocably grants Bild Brands LLC and Onward Energy Co. the following rights, without limitation or further compensation:

(a) The right to use, publish, display, edit, alter, distribute, and reproduce the Model's likeness, image, name, voice, and performance as captured in photographs, videos, or other media (collectively, 'Materials').

(b) The right to use the Materials for any lawful purpose, including but not limited to marketing, advertising, promotions, websites, social media, online videos, printed materials, email campaigns, product packaging, trade shows, and any other form of media or marketing now known or developed in the future.

Royalty-Free, Perpetual License

The Model acknowledges and agrees that the rights granted under this Release are royalty-free, perpetual, worldwide, and irrevocable. The Model further waives any right to inspect or approve the finished product or materials in which their likeness appears.

Ownership and Usage Rights

The Model and Bild Brands LLC and Onward Energy Co. agree to co-own the Materials created during this collaboration. As
co-owners:

(a) The Model grants Bild Brands LLC, Onward Energy Co., and any companies Bild Brands LLC consults for, the unlimited, royalty-free, worldwide, perpetual, and irrevocable right to use, edit, publish, distribute, and reproduce the Materials for any lawful purpose.

(b) Similarly, Bild Brands LLC and Onward Energy Co. grants the Model the right to use the Materials for their personal or professional purposes, including but not limited to portfolios, personal branding, social media, and self-promotion. The Model may not, however, sell or license the Materials to third parties without prior written consent from Bild Brands LLC.

(c) Both parties agree that neither shall use the Materials in any way that portrays the other party in a negative, defamatory, or unethical manner.

Release of Liability

The Model releases and holds harmless Bild Brands LLC, Onward Energy Co., and any affiliates,
Model Release Form subsidiaries, employees, contractors, agents, and assigns from any and all claims, damages, or liabilities arising from or related to the use of the Materials, including but not limited to claims of defamation, invasion of
privacy, misappropriation, or any misuse of the Model's likeness.

No Misuse or Misrepresentation

Bild Brands LLC and Onward Energy Co. agrees not to use the Model's likeness in any way that would portray the Model in a false light, misrepresent the Model, or use the Model's likeness for any illegal or unethical purpose.

Age of Majority

The Model affirms that they are at least 18 years of age and have full legal capacity to sign this Release. If the Model is under 18, a parent or legal guardian must sign on their behalf.

Governing Law

This Release shall be governed by and construed in accordance with the laws of the state of Arizona, without regard to its conflict of law principles.

Entire Agreement

This Release constitutes the entire agreement between the parties and supersedes any prior agreements, understandings, or discussions, whether written or oral, relating to the subject matter herein.

Amendments

This Release may only be amended or modified in writing signed by both parties.
