Collectively referred to as the “Parties.”
1. Grant of Rights
The Photographer irrevocably grants the Client the following rights to the photos and videos (the “Work”) created during the shoot on the submitted dates:
- The perpetual, worldwide, royalty-free right to use, reproduce, edit, publish, display, distribute, and create derivative works from the photos and videos in any form or medium now known or later developed, including but not limited to websites, social media platforms, advertisements, email campaigns, printed materials, product packaging, and trade shows.
- The right to use the Work in connection with the Client’s businesses, including but not limited to Bild Brands LLC, the companies listed on this form, and any other brands the Client consults for.
- The right to sublicense the Work for any lawful purpose related to the Client’s business needs.
2. Ownership of Work
The Photographer retains copyright ownership of the Work and has the right to sell or license the photos and videos to third parties, provided that such use does not portray the Client, its affiliates, or its brands in a negative, defamatory, or unethical manner. The Photographer agrees not to use the Work in a way that conflicts with the rights granted to the Client under this Agreement.
3.Compensation
The Photographer has agreed to provide the Work to the Client without compensation.
4. Photographer’s Representations and Warranties
The Photographer represents and warrants that:
- The Work is original and does not infringe on any copyright, trademark, or intellectual property rights of any third party.
- The Photographer has full legal authority to grant the rights described in this Agreement.
- The Work does not contain any content that is defamatory, libelous, or otherwise unlawful.
5. Indemnification
The Photographer agrees to indemnify and hold harmless the Client and its affiliates, subsidiaries, employees, agents, and assigns from any and all claims, liabilities, or damages arising from the Photographer’s breach of this Agreement or the representations and warranties outlined above.
6. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state of Arizona, without regard to its conflict of law principles.
7. Entire Agreement
This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, whether written or oral, related to the subject matter herein.
8. Amendments
Any amendment or modification to this Agreement must be made in writing and signed by both Parties.
